Terms of Service

These Terms of Service are a contract between you and VODEQ LLC (“Vodeq,” “we,” “us,” or “our”) governing access to vodeq.com, customer accounts, Vodeq Desktop, Vodeq audio plugins and other digital products, license keys, trials, downloads, and related services.

Agreement

By visiting the website, creating an account, checking out, activating a license, installing software, starting a trial, or otherwise using the services, you agree to these terms and to the Privacy Policy, Cookie Policy, Refunds, and Delivery pages, which are part of this contract. If you do not agree, do not use the services or the software.

If you use the services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Vodeq sells digital audio software, license keys, and related downloads through this website. Some titles are also offered as iOS apps on the Apple App Store. Physical goods are not offered for sale on this website.

Eligibility

You must be at least 16 years old to create an account or complete a purchase. If you are 16 or 17, you may use the services only with the involvement of a parent or guardian who agrees to these terms. The services are not directed to children under 16.

You must provide accurate information, keep your email address current, and not impersonate another person.

Accounts

You are responsible for all activity under your account and for keeping your password, multi-factor authentication devices, desktop session tokens, and license keys confidential. Notify us promptly at support@vodeq.com if you believe an account or key has been compromised.

We may refuse, suspend, or close an account, or limit activations, if we reasonably believe these terms, the law, or another person’s rights have been violated, including after confirmed fraud or an unresolved payment dispute.

The store and merchant of record

Website checkout is processed by Stripe Managed Payments. Stripe (through Link) is the merchant of record for those sales: Stripe calculates, collects, and remits applicable VAT, GST, and sales tax, and the charge may appear on your payment statement as sold through Link. Prices are shown at checkout before you pay. We may change catalog prices at any time; a change does not affect an order already paid.

When payment is accepted, licenses and download access are delivered to the account and email used at checkout, as described on the Delivery page. Installer links are signed and time-limited. You may request a fresh link from Licenses & downloads, subject to the download limits shown for that product.

If you checked out without an account, create or sign in with the same email to pick up keys and files.

Digital content and cancellation (EEA and UK)

Website purchases of plugins, license keys, and downloads are digital content supplied on a durable medium or by download. By completing checkout you request that we start delivery immediately and acknowledge that you lose the 14-day withdrawal right that would otherwise apply to distance contracts in the EEA and United Kingdom once performance of the digital content has begun with your agreement. Statutory rights that cannot be waived remain unaffected. After delivery, refunds follow the Refunds page.

Website and App Store purchases

Website checkout is always billed by Stripe under these terms. Purchases made through the Apple App Store are billed, taxed, and refunded by Apple under Apple’s terms. We do not process App Store card payments.

If a product page states that the title ships on both desktop and iOS, one Vodeq license covers both, kept in parity through RevenueCat. Desktop-only products do not unlock iOS apps. iOS-only App Store products do not unlock the desktop plugin or Vodeq Desktop features that require a website license. Cross-platform products may require a minimum of two activations (one desktop seat and one iOS seat) even when a catalog listing shows a single seat.

License grant

Subject to these terms and full payment (or a valid trial), Vodeq grants you a limited, non-exclusive, non-transferable, revocable license to install and use the purchased software in object-code form for your personal or internal business use, on the number of seats and activations shown at purchase or in your account, on devices you control.

You may not, except to the extent a statute forbids us from restricting it:

  • share, publish, rent, lease, sublicense, or resell a license key or installer without our prior written permission;
  • circumvent activation limits, machine binding, offline-lease checks, or download controls;
  • copy the software except for reasonable backup copies for licensed seats;
  • reverse engineer, decompile, or derive source code from the software, except where mandatory law allows it and you have first requested interoperability information from us;
  • remove proprietary notices, or use Vodeq names or marks except as needed to identify the software you licensed;
  • use the software to develop a competing product by extracting protected content, presets, or models beyond ordinary musical use.

Title to the software remains with Vodeq and its licensors. You own the media or hardware you supply. We own the software, documentation, catalog copy, and the services.

Promotional, educational, not-for-resale (NFR), and complimentary licenses are licensed only for the purpose we stated when we issued them, are not transferable, and are not refundable.

Trials

Trials, when offered, are one per product per email and one per product per machine. Starting a trial from a plugin seats that trial on the machine identifier the plugin sends. A second email on the same computer cannot start another trial of that product. Ending a trial locally does not entitle you to a new trial. When a trial expires, the license ends unless you purchase or otherwise obtain a paid license. Trial terms may include time limits and feature limits shown in the product or account.

Updates and versions

We may provide updates, patches, or new versions. Some updates may be required for the software to keep validating a license or to remain compatible with hosts and operating systems. We do not promise that every host, operating system, or older version will remain supported. Download access remains subject to the limits and signed-link process described in your account.

Subscriptions

If you purchase a subscription SKU on the website, Stripe bills the interval shown at checkout until you cancel according to the cancellation control provided at purchase or in your account, or until we discontinue the SKU. Cancellation stops future renewals; it does not refund the current prepaid period except as required by law or the Refunds page. App Store subscriptions are managed in your Apple account.

Acceptable use

You may not misuse the website or APIs, including by attempting unauthorized access, probing or attacking the services, overloading the store, scraping in a way that degrades the service, bypassing rate limits, or using the products for unlawful purposes. You may not interfere with licensing, telemetry, or update endpoints, or submit malware or abusive content through support or crash attachments.

We may suspend accounts, revoke licenses, void trials, and refuse future sales where we reasonably believe these rules, a chargeback, or confirmed fraud is involved. If a payment is disputed, we may freeze or revoke associated licenses while the dispute is open, as described on the Refunds page.

User content

Support tickets, feedback, crash attachments, and similar material you send remain yours. You grant Vodeq a worldwide, non-exclusive license to use that material to operate support, diagnose issues, and improve the products. Do not send content you do not have the right to share. We may refuse or delete material that is unlawful, abusive, or technically unsafe.

Third-party services

Checkout uses Stripe. App Store commerce uses Apple. Cross-platform entitlement parity may use RevenueCat. Hosts, operating systems, and other plugins are third-party products. Their terms and privacy policies apply to those services. We are not responsible for third-party outages, host compatibility, or Apple or Stripe account decisions, except where the law says otherwise.

Disclaimer of warranties

To the maximum extent permitted by law, the website, software, licenses, downloads, and services are provided “as is” and “as available.” Vodeq disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the software will be error-free, uninterrupted, or compatible with every host or operating system, or that defects will be corrected.

Nothing in these terms excludes or limits any guarantee, warranty, or liability that cannot be excluded or limited under applicable law, including mandatory consumer rights in your country of residence. If you are a consumer in the EEA or United Kingdom, you are entitled to have digital content brought into conformity if it is defective, subject to statutory limits and the Refunds page.

Limitation of liability

To the maximum extent permitted by law, VODEQ LLC and its members, officers, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, or goodwill; or substitute procurement, even if advised of the possibility of those damages.

To the maximum extent permitted by law, our total liability arising out of or relating to these terms or the products is limited to the amount you paid to Vodeq (or that Stripe collected for us as merchant of record on a Vodeq website order) for the product giving rise to the claim during the twelve months before the claim. App Store purchases are not amounts paid to Vodeq under this paragraph.

These limits do not apply to liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.

Indemnity

If you are using the services other than as a consumer exercising non-waivable rights, you will defend and indemnify VODEQ LLC against claims, damages, and reasonable legal fees arising from your misuse of the software, your violation of these terms, or your infringement of another person’s rights, except to the extent caused by our willful misconduct.

Changes to the services and to these terms

We may modify the website, catalog, APIs, and software. We may update these terms by posting a revised version with a new “Last updated” date. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the services and uninstall the software; licenses already paid remain subject to the license grant and refund rules in effect at purchase except where the law requires otherwise.

Termination

You may stop using the services and delete your account as described in the Privacy Policy. We may terminate or suspend access as described under Accounts and Acceptable use. License rights end if we refund or revoke the corresponding purchase, if a chargeback succeeds, or if you materially breach these terms and do not cure the breach within a reasonable time after notice, except where the law requires a different result. Sections that by their nature should survive (including license restrictions, payment, disclaimers, liability limits, indemnity, and governing law) survive termination.

Governing law and disputes

These terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-law rules, except that consumers who reside in the EEA, United Kingdom, Switzerland, or another jurisdiction that does not allow that choice of law keep the mandatory protections of their country of residence.

Subject to those mandatory consumer protections, exclusive venue for disputes arising out of these terms or the services is the state or federal courts located in Indiana, and you and Vodeq consent to personal jurisdiction there. Either party may still seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or license enforcement.

If you are a consumer in the EEA, you may also use the European Commission’s online dispute resolution platform. We are not obligated to participate in a particular alternative-dispute body unless the law requires it.

Miscellaneous

These terms are the entire agreement between you and Vodeq for the services, superseding prior proposals on the same subject. If a provision is unenforceable, the remainder stays in effect. A waiver must be in writing and signed by the waiving party. You may not assign these terms without our consent; we may assign them in connection with a reorganization or sale of the business. There are no third-party beneficiaries except as required for Stripe or Apple to enforce their role as merchant of record on their respective checkouts. Headings are for convenience only.
